Who is a Company Secretary Exactly?

A company secretary is one of the key personnel in any company, placed at the top of the organizational hierarchy, i.e., management level and is also responsible for managing the legal, financial and statutory requirements of the company.

According to the Companies Act, a company secretary is “a person who is a member of the Institute of Company Secretaries of India,” highlighted in section 2(1)(c). A company secretary is appointed to perform the key functions of a company as per the Companies Act, which includes performing ministerial and administrative duties.

How to Become a CS in India

The aspirants looking to become a certified CS in India needs to undergo a three-year CS course. If you are looking to make a career in CS, you must enrol under the Institute of Company Secretaries of India (ICSI), the statutory professional body of India regulating CA/CS profession.

Higher Secondary Certificate (10+2) from any recognized board of education or its equivalent from the Central Board of Secondary Examinations (CBSE) or Council for Indian Certificate of Secondary Examination (ICSE) are eligible for higher studies as CS.

A CS aspirant should pass Higher Secondary Examination (10+2) from any recognized board of education or its equivalent from the Central Board of Secondary Examinations (CBSE) in India.

Apart from this, graduates having a Bachelor of Commerce (B.Com) and Master of Commerce (M.Com) degree along with Chartered Accountancy professionalscan also become CS in India, considering they clear the exam conducted by ICSI.

Several reputed business schools (B-schools), government-run universities and Indian educational institutes also offer professional courses to clear CA examination.

Admission in Company Secretary Course

Only online registrations for Company Secretary course are accepted by ICSI through its web portal. For successful registration, you will need soft-copies or scanned images of the following documents:

  1. Latest photograph

  2. Signature

  3. Secondary School Certificate or it’s equivalent from CBSE/ ICSE highlighting your date of birth

  4. Consolidated mark sheet of Higher Secondary Examination or its CBSE/ ICSE equivalent

  5. Attested copies of passing certificate and mark-sheets for B.Com, M.Com and CA students

  6. Caste certificate if belongs to Scheduled Caste/ Scheduled Tribe/ Other Backward Castes categories

  7. Medical certificate from any government hospital, in case of specially-abled applicants

  8. Valid ID Proof, i.e., Aadhar card, PAN card, driving license or passport

  9. Valid address proof such as Aadhar card, driving license or passport or any legal document indicating the geographic location to the candidate

CS Course Details/Stages

#1. CS Executive Entrance Test (CSEET) Course

To meet the stakeholders’ expectations and to further enhance the quality of future members is

the prime objective of the Vision New ICSI 2022. The Company Secretaries (Amendment)

Regulations, 2020 require introduction of CS Executive Entrance Test (CSEET) in place of the

Foundation Programme. With the introduction of CSEET from February 3, 2020, new registration

to the Foundation Programme has ceased to exist w.e.f. February 3, 2020, CSEET is the only

qualifying entrance test for registration to the CS Executive Programme. CSEET has been

introduced keeping in view the diverse academic standards of students seeking admission in the

Company Secretaryship Course, to attract meritorious students and to test their aptitude for the

Company Secretary profession. The candidates appearing/passed in class 12th examinations

shall be eligible for appearing in the CSEET. All the students seeking admission in the Company

Secretary Course including graduates/ post graduates, etc. shall be required to qualify the

CSEET from February 3, 2020 onwards. The process of selecting meritorious candidates

through CSEET will enhance the quality of future members to meet the expectations of the

industry and the regulators.

Regulation 20(1)(ii) of the Company Secretaries (Amendment) Regulations, 2020 contains the

provisions of CSEET.

Passing of CS Executive Entrance Test (CSEET) is mandatory for all candidates to register for CS

Executive Programme, except a few exempted categories of candidates.

CS Executive Entrance Test (CSEET) shall be conducted on a single day as per the following :

a) Computer Based Test of 120 Minutes consisting of four parts viz. (i) Business

Communication; (ii) Legal Aptitude & Logical Reasoning (iii) Economic and Business

Environment & (iv) Current Affairs; and

b) Viva Voce of 15 Minutes on “Presentation and Communication Skills”.

Eligibility Conditions

A candidate passed / appearing in the Senior Secondary (10+2) Examination or

equivalent thereto is eligible to appear in the CSEET.

All Graduates/ Post Graduates who were hitherto eligible for registration directly to

CS Executive Programme, are also required to pass the CSEET to become eligible for

registration to Executive Programme.

Exemptions

• Candidates who have passed CS Foundation Programme are exempted from CSEET

without any payment of exemption fee.

• Candidates who have passed the Final Examination of The Institute of Chartered

Accountants of India (ICAI) and/or The Institute of Cost Accountants of India (ICMAI)

are exempted from CSEET and shall pay `5,000 (Rupees Five Thousand Only) towards

exemption fee at the time of Registration to CS Executive Programme.

Pattern of the CSEET

The Institute will conduct CS Executive Entrance Test based on Objective Type / Multiple Choice

Questions and viva-voce for testing listening, written communication and oral communication

skills. There are four papers in CS Executive Entrance Test. Each paper contains objective type

multiple choice questions having one or more marks each with four options with one correct

answer. The duration of the Test shall be 120 minutes and viva-voce on Presentation and

Communication Skills of 15 Minutes.

Duration of the CSEET

Computer Based Test (CBT)

Test of 120 Minutes duration will be conducted at designated Test Centres. It will be a

Computer Based Test (CBT) conducted in MCQ pattern as per the following details:

Viva Voce

The Presentation and Communication Skills (Viva Voce) of 15 Minutes for 30 Marks will

be conducted simultaneously with or immediately after the MCQ based CBT through on-

line mode using artificial intelligence (AI) or through recoded videos at the designated

Test Centres.

Final Score

The final score will be computed by adding the marks secured by candidates in both the

Tests (CBT and Viva-Voce) out of a total of 200 marks.

CSEET Passing Criteria

Candidates shall be declared ‘PASS’ in CSEET on securing 40% marks in each paper and

50% marks in the aggregate.

Registration to Executive Programme

Candidate has passed Senior Secondary Examination (10+2 system) conducted by an

examining body constituted by law in India or an examination recognised by the Central

Government or State Government or equivalent thereto for the purposes of admission to

Bachelor’s degree course; and

Candidate has passed Company Secretary Executive Entrance Test (CSEET) conducted

by the Institute. The date of result of CSEET should not be older than one year prior to

the date of such registration.

Test Centres

The examination will be held at multiple test centres across the country to ensure that

the CSEET is conducted on a single day for all the registered candidates.

Point to Remember

  1. Graduates and professionals having B.Com, M.Com and Chartered Accountant (CA) certifications are not required to enrol for Foundation

  2. Students cleaning CAT, XAT, GMAT, SNAT, MH-CET, NMAT and ATMA can also skip Foundation Course, subject to approval from ICSI

#2. Executive Program

Upon successful completion of the Foundation Course, ICSI selects a limited number of students to take admission in the Executive Program. Admissions are not based solely upon the candidate’s performance in the written exam.

Points to Remember:

  1. Candidates cleaning Foundation Exam are required to appear for a personal interview round at ICSI head office in New Delhi or one of the regional offices in Mumbai, Chennai and Kolkata or its chapters located at 38 different locations in India.

  2. Group discussions for students clearing the Foundation Course are held at ICSI and its chapters.

  3. Analytical and problem-solving skills are also checked via test.

Syllabus for Company Secretary Executive Program

As per ICSI’s guidelines 2017, CS Executive program has a total of seven subjects. All these subjects are categorised into two broad modules -Module-1 (four subjects) and Module-2 (three subjects).

#3. Professional Program

Students, passing the Executive Program move ahead into the final stage of Company Secretary three-year professional exam.

Professional Program is the toughest among all three stages as it has a very complex syllabus, which is broadly divided into three modules.

Each module has three distinct subjects. Although, the third subject needs to be chosen from a list of electives offered by ICSI.

Points to Remember:

  1. Passing the CS Professional Program is most difficult for any student.

  2. It is also highly recommended for CS aspirants to study for the Executive Program and Professional Program through any ICSI-recognised university, offering CS courses.

  3. Incumbents cleaning all three stages of the CS program get membership of ICSI to become certified Company Secretary.

CS Course in Hindi

Most of the universities along withInstitute of Company Secretaries of India (ICSI) in India has chosen the English language as a preferred mode of instruction for offering Company Secretary course.

Although with increased demand for qualified Company Secretaries from the state and Centre government bodies, universities in India now do offer coaching in Hindi and selected regional languages.

ICSI Universities Recognized for CA/CS Course

As of writing this article, there are around 55 ICSI-recognised and government-owned universities who offer Company Secretary course to students in India.

Thousands of private coaching classes are also running in India to deliver coaching for CS courses. You must enrol at these coaching centres as per your sole discretion and knowledge.

ICAI also provide online coaching through classroom studies at select locations in India for students.

Company Secretary Course Fees

The total cost of doing Company Secretary or CS course from recognized universities in India somewhere between INR 100,000 and INR 400,000. It also includes fees paid to ICSI and classroom training.

Generally, the fee is paid online by candidates for the CS course. In some cases, ICSI also accepts fees in the form of bank receipts in a nationalized bank.

Concessions and exemptions are available to those students who come under specific categories.

Company Secretary Salary

According to Payscale report, a company secretary in India gets an average INR 3,00,000 per year as salary with a small and medium scale enterprise,  With larger organisations, this salary goes up to INR 5,00,000 per annum.

Although when it comes to large corporate houses and multinational firms, company secretaries easily get around a salary between INR 8,00,000 to INR 1.5 million per annum.
